1. Agreement to Terms
Welcome to Itemli (Service or App), operated by Advaitha LLC, a Virginia limited liability company (Company, we, us, or our). By downloading, installing, accessing, or using the Itemli mobile application and all associated services, features, and content (collectively, the Service), you (User, you, or your) agree to be bound by these Terms of Service (Terms). If you do not agree to these Terms in their entirety, do not use the Service.
These Terms apply to all access and use of the Service, whether by web, mobile app, or any other means. Your continued use of the Service indicates your acceptance of these Terms. We reserve the right to modify these Terms at any time. Material changes will be notified within the App or via email, and your continued use constitutes acceptance of the modified Terms.

2. Eligibility & Account Registration
2.1 Eligibility
You represent and warrant that:
- You are at least 18 years old (or the age of majority in your jurisdiction).
- You have the legal authority to enter into these Terms.
- Your use of the Service complies with all applicable laws and regulations.
2.2 Account Creation
To use certain features of the Service, you must create an account (Account). You may sign up using one of the following authentication methods:
- Google Sign-In (via your existing Google account)
- Facebook Login (via Facebook's Limited Login protocol)
- Magic-link email (passwordless email-based sign-in)
2.3 One Account Per User
You agree to maintain only one personal Account. Creating multiple accounts or attempting to circumvent account limits is prohibited and may result in Account suspension or termination.
3. Description of Service
Itemli is a local-first home inventory management app designed to help you catalog, organize, and track items in your home or business. The Service includes the following core features:
- Camera & Barcode Scanning — Capture photos of items or scan barcodes/QR codes for quick entry.
- AI-Powered Item Recognition — Automated product identification, categorization, and tagging via AI Vision.
- AI Chat Assistant — An AI-powered chat feature to answer questions about your inventory and provide assistance.
- Inventory Management — Organize items by location, category, tags, status (Active/Archived/Disposed), and custom notes.
- Rules Engine — Create automated rules to assign locations, tags, or other properties to items based on conditions.
- Buy List & Shopping — Track items to purchase and compare prices across retailers via third-party shopping APIs.
- Household Sharing (Pro) — Invite household members to view and manage shared inventory.
- Donation & Recycling Tracking — Log donations and recycling with optional photos and fair-market-value estimates.
- Tax Reporting — Generate donation/recycling reports in a format suitable for tax filing.
- Backup & Export — Download an encrypted backup of your inventory data as a .Itemli file.
- Location QR Codes — Generate and scan QR codes to organize items by physical location/bin.
4. AI-Powered Features
4.1 How AI Vision Works
When you use the AI Vision feature to scan an item:
- The App captures and compresses a photo of the item (~150 KB JPEG, max 1080×1080 pixels).
- The photo and any metadata (category, brand, current inventory state) are transmitted to our backend server.
- The backend processes your photo using third-party AI inference services for product identification, categorization, and confidence scoring.
4.2 AI Processors & Subprocessors
Your photos and product data are processed by the following AI processors: AWS Bedrock (hosted by Amazon Web Services) runs Google Gemma 3 4B, Nvidia Nemotron Nano 12B, Amazon Nova Lite, and Meta Llama 4 Scout models. Google Vertex AI (fallback only) uses Google Gemini 2.5 Flash model.
4.3 No Charge on Failed Scans
If an AI Vision scan fails or produces no result, no Credits are deducted from your account.
4.4 Accuracy Disclaimers
AI-generated suggestions (product identification, category, valuation) are provided for convenience only and may be inaccurate. We do not warrant the accuracy, completeness, or fitness of AI-generated content for any particular purpose. You are responsible for reviewing and correcting AI suggestions before saving items to your inventory.
5. Credits & Purchases
5.1 Credit System
The Service uses a consumable Credit system. Credits are used to pay for certain features:
- AI Vision Scanning — 1 Credit per scan
- AI Chat Messages — 0.1 Credits per message
- Barcode/UPC Lookup (unknown product) — 1 Credit
- Reports (tax reports, insurance reports, etc.) — 30 Credits per report
- Location QR Code Packs — 30 Credits per pack
- Backup Imports — variable, based on import size
5.2 Credit Packs
You may purchase consumable Credit Packs through the App via Google Play Billing. Credits do not expire and will remain in your account until used.
5.3 Payments & Refunds
All purchases are processed by Google Play Billing on behalf of Itemli. We do not issue refunds directly. Refund requests must be directed to Google Play Support within 15 minutes of purchase.
6. User Content & Data
6.1 User-Generated Content
Your Account may contain the following user-generated content (Your Content):
- Photos of items, locations, and donations/recycling receipts.
- Item descriptions, tags, categories, and custom notes.
- Location/bin names and organization.
- Financial/insurance information (policy numbers, coverage amounts, company names, renewal dates).
- Household member invitations and shared access permissions.
6.2 Data Storage & Cloud Sync
By default, all Your Content is stored only on your device in a local SQLite database. No data is automatically uploaded to our servers. If Cloud Sync is enabled (Pro-tier feature), Your Content is mirrored to our Supabase cloud database.
6.3 Ownership & License
You retain all ownership rights to Your Content. By submitting Your Content to the Service, you grant Itemli a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, backup, and process Your Content.
7. Household Sharing
7.1 Inviting Members
If your Account has access to Household Sharing (Pro), you may invite household members by email. Invitations are sent via our notification system.
7.2 Member Permissions
Once a member accepts an invitation, they can view all inventory items in the household, create and edit inventory items, and manage household locations and tags.
8. Backups & Exports
8.1 Backup Files
You may export your inventory data as a .Itemli proprietary backup file, which contains encrypted inventory database (optional AES-256 password protection), compressed item photos, and SHA-256 checksum for integrity verification.
8.2 Your Responsibility for Backups
Once you download or export a .Itemli backup file, you are responsible for secure storage and handling. Itemli is not responsible for where you store, share, or upload the file.
9. Third-Party Links, Shopping, & Affiliate Disclosures
9.1 Shopping & Price Comparison
The Buy List and Shop for Me features provide product search and price-comparison results from third-party sources via SerpAPI and affiliated retailer adapters.
9.2 Affiliate Links
Some shopping results include affiliate links, particularly to Amazon via the Amazon Associates program. When you click a shopping link and make a purchase through a retailer, Itemli may earn a commission (at no cost to you).
10. Donation Valuations & Tax Reports
10.1 Fair-Market-Value Estimates
Itemli can generate estimated fair-market-value (FMV) for items you donate or recycle. These estimates are provided for informational purposes only and are not guaranteed to be accurate or acceptable to tax authorities.
10.2 Tax Reports & Disclaimers
These reports are provided for convenience only and do not constitute tax, legal, or financial advice. You are solely responsible for verifying the accuracy of valuations with a qualified tax professional or appraiser.
11. Acceptable Use
You agree not to use the Service to: engage in any illegal activity or violate any applicable law; infringe, misappropriate, or violate third-party intellectual property rights; harass, threaten, defame, or abuse other users; transmit malware, viruses, or harmful code; reverse-engineer, decompile, or attempt to derive source code; circumvent security features, authentication, or Credit systems.
12. Notifications
12.1 In-App & Push Notifications
Itemli may send you in-app notifications regarding low Credit balance, sync errors, household invitations, and App updates. Push notifications (via Firebase Cloud Messaging) are sent for important alerts and service announcements.
12.2 Managing Notifications
You can manage push notification preferences in your device's system settings and within the App.
13. Termination & Account Deletion
13.1 User-Initiated Deletion
You may delete your Account at any time through the App's Account settings. Account deletion is permanent and irreversible. Your cloud data will be permanently deleted from Supabase, and purchased Credits are non-refundable.
13.2 Company-Initiated Termination
We may suspend or terminate your Account if you violate these Terms, your Account is used for fraudulent purposes, or we determine that continued access poses a risk to the Service.
14. Disclaimers & Limitation of Liability
14.1 "As-Is" Disclaimer
The Service is provided "AS IS" and "AS AVAILABLE", without warranties of any kind, express or implied.
14.2 Limitation of Liability
Itemli's total liability for any claims arising from or related to the Service shall not exceed the greater of: (a) the amount you have paid to Itemli in the 12 months prior to the claim, or (b) $100 USD.
15. Governing Law & Dispute Resolution
15.1 Governing Law
These Terms and your use of the Service are governed by and construed in accordance with the laws of the Commonwealth of Virginia, USA.
15.2 Mandatory Arbitration
You and Itemli agree to submit all disputes to binding arbitration rather than court proceedings, except as provided below. The arbitration will take place in Alexandria, Virginia.
16. Severability
If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable.
17. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Itemli regarding the Service.
18. Changes to These Terms
We may modify these Terms at any time. Material changes will be announced within the App, via email, or by updating the "Last Modified" date. Your continued use constitutes acceptance of the new Terms.
19. Waiver
Failure to enforce any provision of these Terms does not constitute a waiver of that provision.
